中科招商加盟连锁快速扩张受关注

 今年以来备受业内热议的中科招商大有成为行业第一之势，中科招商在去年悄无声息地进行了高速的扩张，募资额和投资项目数量取得了“双百”的成 绩，速度超过了此前被认为扩张迅猛的九鼎投资，俨然已经成为了本土最大PE机构。其更是依赖其独特的“加盟”模式形成了全国范围的连锁布局，倚仗灵活的机 制迅速实现了在全国范围内的跑马圈地，近百只子基金、数千个LP阵营等都构成了本土PE行业里一道独特的风景线。而除此之外，中科招商在项目投资上也时常 表现出了非常惊人、彪悍的作风。

mso-hansi-font-family:"Times New Roman"">　　“500 "Times New Roman"">亿规模、300 "Times New Roman"">个项目、88只基金、全国各地400 mso-hansi-font-family:"Times New Roman"">个团队成员。” "Times New Roman"">这是中科招商去年达到的规模也是组令业内咂舌的数据；而中科招商总裁单祥双表示，仅是去年一年，中科招商就设立38 mso-hansi-font-family:"Times New Roman"">只基金，投资111 "Times New Roman"">个项目，总额达112 "Times New Roman"">亿元。

mso-hansi-font-family:"Times New Roman"">　　这样的数字初被爆出一度让业界咂舌，由于去年市况并不好，尤其是下半年PE mso-hansi-font-family:"Times New Roman"">行业遭遇了募资和投资的双重困境，中科招商所投资的金额和数量都让同行难以企及，以业内老牌的深创投为例，公司去年一年共投资84 mso-hansi-font-family:"Times New Roman"">家企业，投资总额也仅有27 "Times New Roman"">亿元。

mso-hansi-font-family:"Times New Roman"">　　“ "Times New Roman"">除了去年扩张速度很快外，前两年中科招商的扩张势头也非常迅猛，只是没有对外界透露。” mso-hansi-font-family:"Times New Roman"">另一位行业中介机构人士称。

mso-hansi-font-family:"Times New Roman"">　　88 "Times New Roman"">只基金，中科招商庞大的子基金数量也揭示了其独特的运作模式，而这种模式被业内称之为“ mso-hansi-font-family:"Times New Roman"">加盟连锁” "Times New Roman"">模式，即中科招商通过在全国各个地方设立 区域办事处，直接与当地政府进行密切合作，合作设立子基金，地方政府和中科招商出一小部分资金，其余的则由中科招商再在当地发掘当地有实力的投资人。有了 "Times New Roman"">地方政府的背景和支持，中科招商募资的难度也大大降低。“ "Times New Roman"">投资人的门槛都是千万起，主要是民营企业家。现在还是公司制基金居多，合伙制基金占少数。” mso-hansi-font-family:"Times New Roman"">上述 董事会人士称。

mso-hansi-font-family:"Times New Roman"">　　除了直接与地方政府进行合作外，在一些地方中科招商也会直接寻找当地有实力的公司或人士直接合作设立基金，更多的是用中科招商的品牌效应吸引加 "Times New Roman"">盟，共同运作基金。目前在中科招商的400 "Times New Roman"">余人的团队中，公司总部仅约百余人，其余的大部分员工均是在各个地方寻找各种资源。“ mso-hansi-font-family:"Times New Roman"">区域办事处除了募资外，还 "Times New Roman"">要负责项目承揽，项目开发后将直接汇总到公司总部，公司总部负责项目尽职调查、投资决策、投后管理等。” mso-hansi-font-family:"Times New Roman"">上述董事会人士称。

mso-hansi-font-family:"Times New Roman"">　　这种与地方政府紧密合作的模式一方面使得PE mso-hansi-font-family:"Times New Roman"">基金在募资时能够较快取得当地投资人的信任，另一方面也能够借助这样的渠道获得项目推荐，“ mso-hansi-font-family:"Times New Roman"">很多项目现在都不是在一二线城市了，我们和地方政府是利益共同体，他们也有动力为我们推荐项目。” mso-hansi-font-family:"Times New Roman"">上述董事会人士称。

mso-hansi-font-family:"Times New Roman"">　　事实上，这一模式倒并非中科招商首创，本土知名机构深创投便一直是采用这种模式，但与深创投不尽相同的是，一方面，深创投本身是国有背景，易于 "Times New Roman"">赢得政府信任，而中科招商早已变身成民营背景，机制上更灵活；而另一方面，行动迅猛的中科招商将这种模式发挥得更加淋漓尽致，合作的区域更下沉，不仅合作 "Times New Roman"">方中有许多县级城市，甚至它也已经将这种模式频频复制到了许多地方乡镇。

mso-hansi-font-family:"Times New Roman"">　　2010 "Times New Roman"">年3月30 mso-hansi-font-family:"Times New Roman"">日，中科招商联合周庄镇10 "Times New Roman"">名企业家共同筹资2.5 "Times New Roman"">亿元，设立了全国首个乡镇创投基金—— "Times New Roman"">中科双盈创业投资基金，而中科招商 正是通过当地企业江阴热电厂厂长顾轶群牵线和周庄镇政府建立起了深度合作关系，顾轶群则任中科双盈的董事长。而在此之后，中科招商沿袭了这样的路，继周庄 "Times New Roman"">之后，仅江阴市就有7 "Times New Roman"">个乡镇找到中科招商设立了基金。“ "Times New Roman"">中科招商的机制比较灵活，为了吸引以民营企业家为首的投资人，在投资决策机制上就专门做了设置。” mso-hansi-font-family:"Times New Roman"">上述董事会人士称，中科招商的投资决策委员会相当于有两个体系，首先是总部有由投资团队、风控、法务等部门负责人及公司高管组成的投资决策委员会，决定项 "Times New Roman"">目是否能够投资。而项目在经过这一程序获得同意后，并不能直接投资，而是会将项目给各个子基金，由子基金层面的投资决策委员会再做判断是否要动用该基金的 "Times New Roman"">资金进行投资，子基金的投资决策委员会实际上就是民营企业家为首的投资人。投资人最终参与投资决策的这种做法和国际惯例有所背离，但却成为中科招商吸引大 "Times New Roman"">量有“强烈决策意愿” mso-hansi-font-family:"Times New Roman"">民营企业家的一大独特模式。

mso-hansi-font-family:"Times New Roman"">　　正是依靠这种富有本土特色的机制，中科招商吸引了多方资源加盟，它也迅速建立起了自己的PE mso-hansi-font-family:"Times New Roman"">王国，它现在的LP "Times New Roman"">群体大概达到了2000~3000 "Times New Roman"">个的规模，在国内PE "Times New Roman"">界内同样是屈指可数。

mso-hansi-font-family:"Times New Roman"">　　而从总部将项目分到子基金的这一做法所涉及的子基金数量较为庞大，是否会造成混乱亦成为一个考验。对此，该董事会人士称，“ mso-hansi-font-family:"Times New Roman"">虽然现在有近百个子 "Times New Roman"">基金，但很多已经投完了，所以并非所有基金都有投资需求，另一方面，不同基金的行业侧重点不一样，此外也还会考虑时间优先等因素。”

mso-hansi-font-family:"Times New Roman"">　　中科招商自身并不太赞同外界对于其“ mso-hansi-font-family:"Times New Roman"">加盟连锁” "Times New Roman"">的模式定位，而是强调其管理仍然是高度集中的，更趋近于“ "Times New Roman"">直营管理”。事实上，中科招商这种独特的发展模式背后是创始人单祥双的深深烙印。

mso-hansi-font-family:"Times New Roman"">　　单祥双职业路径就是从国家部委开始，25 mso-hansi-font-family:"Times New Roman"">岁时已经是交通部委系统的初级干部，此后南下深圳，并在2000 mso-hansi-font-family:"Times New Roman"">年最早成立中科招商时获得许多国有企业的支持，并成为“ mso-hansi-font-family:"Times New Roman"">中国首家经政府批准的创业投资基金管理机构之一” mso-hansi-font-family:"Times New Roman"">，这些都为中科招商先天性地加上了“ mso-hansi-font-family:"Times New Roman"">政府” "Times New Roman"">的烙印。

mso-hansi-font-family:"Times New Roman"">　　可以略为佐证的是，单祥双曾公开对外表示，“ mso-hansi-font-family:"Times New Roman"">每个项目为什么投、怎么投的、失败的原因我都很清楚了。” mso-hansi-font-family:"Times New Roman"">而当出现投资团队和风控部门常常打架情形，最后投或是不投，由单祥双判断，“ mso-hansi-font-family:"Times New Roman"">中科招商的核心竞争力就是我。” "Times New Roman"">单祥双说。

mso-hansi-font-family:"Times New Roman"">　　去年中科招商执行副总裁瞿绪标离开，而未经确认的消息称，瞿绪标离职也是因为与单祥双的强势作风导致沟通合作出现障碍有一定关联。

mso-hansi-font-family:"Times New Roman"">　　去年年中，中科招商联合5 "Times New Roman"">家PE机构以1.275 mso-hansi-font-family:"Times New Roman"">亿元增资 "Times New Roman"">。胜景山河曾两次冲击上市都未能过会，且上市前夕因业绩造假被叫停。中科招商以7.5 mso-hansi-font-family:"Times New Roman"">元每股的价格临危入股，其市盈率倍数依然达到惊人的16 mso-hansi-font-family:"Times New Roman"">倍，与市场一般通行的8 "Times New Roman"">至10倍相差近一倍。

mso-hansi-font-family:"Times New Roman"">　　今年2 "Times New Roman"">月底，中科招商一则PE "Times New Roman"">项目投资的信息引起了业界关注。中科招商对外披露称，完成了对广东省有线广播电视网络股份有限公司（下称“ mso-hansi-font-family:"Times New Roman"">广东有 线” mso-hansi-font-family:"Times New Roman"">）的投资，单这个项目的投资金额竟然高达20 mso-hansi-font-family:"Times New Roman"">亿元。单个项目20 "Times New Roman"">亿元，在本土PE/VC "Times New Roman"">市场中已属于凤毛麟角，这样的举措显示出了中科招商在项目投资 中的惊人之处。“ mso-hansi-font-family:"Times New Roman"">这是实打实的投资，广东有线目前正在做资产的整合，整合完成后总的资产规模和盈利能力将很强。不过这个项目的估值其实也不便宜，上市时间 "Times New Roman"">还不确定。”中科招商董事会一位人士称。

mso-hansi-font-family:"Times New Roman"">　　但这些惊人之举无疑都凸显出了中科招商投资风格的彪悍，这些或许能够从单祥双几天前的一次公开发言中找到一些契合之处。几天前，中科招商总裁单 "Times New Roman"">祥双在一次行业会议中公开谈及中国PE "Times New Roman"">行业大调整时代已经到来，他还称：“ "Times New Roman"">我们在中国做投资、做基金，必须把脚深深地踩到中国广阔的泥土里，必须接地 "Times New Roman"">气。”
